Welcome to Resonance Records! These terms and conditions outline the rules and regulations for the use of Resonance Records' services and website. By accessing this website and utilizing our services, you accept these terms and conditions in full. If you disagree with these terms and conditions or any part of these terms and conditions, you must not use this website or our services.
1. Definitions
The following definitions apply to these Terms and Conditions:
- "Resonance Records" refers to our recording studio located at 121 Music Row E, Nashville, TN 37203, USA, and its affiliated entities.
- "Client" refers to any individual, company, or organization that uses our services.
- "Services" refers to all recording, mixing, mastering, voice-over, and other audio-related services offered by Resonance Records.
- "Website" refers to www.resonancerecords.com.
- "Agreement" refers to the contractual agreement between Resonance Records and the Client, encompassing these Terms and Conditions, the booking confirmation, and any other written agreements.
2. Booking and Payment
All bookings are subject to availability. A deposit, as specified in the booking confirmation, is required to secure a booking. The remaining balance is due upon completion of the session, unless otherwise agreed in writing. We accept payments via credit card, cash, and bank transfer. Invoices will be provided for all payments.
For longer projects, Resonance Records may require milestone payments. These payment schedules will be outlined in a separate project agreement. Late payments may incur a late fee of 5% per month. Resonance Records reserves the right to suspend services for non-payment.
3. Cancellation and Rescheduling
Cancellations made more than 72 hours before the scheduled session will receive a full refund of the deposit. Cancellations made within 72 hours of the scheduled session will forfeit the deposit. Rescheduling is subject to availability and must be requested at least 48 hours before the scheduled session. Resonance Records reserves the right to charge a rescheduling fee if insufficient notice is given.
4. Studio Usage
Clients are expected to treat the studio equipment and premises with respect. Any damage caused by the Client or their guests will be the responsibility of the Client, and the Client will be liable for the cost of repair or replacement. Clients must adhere to all studio rules and regulations, which will be provided upon arrival.
Resonance Records is not responsible for any personal belongings left on the premises. Clients are advised to ensure all valuables are removed from the studio at the end of each session. The studio is a smoke-free environment. Consumption of alcohol is permitted with prior approval from studio management, and subject to compliance with all relevant local laws and regulations. Illegal substances are strictly prohibited on the premises.
5. Intellectual Property
The Client retains ownership of the copyright in their original recordings. However, Resonance Records retains the copyright in any recordings, mixes, or masters created by Resonance Records until full payment has been received. Upon full payment, the Client will receive a license to use the recordings for commercial and non-commercial purposes. Resonance Records reserves the right to use excerpts of the Client’s recordings for promotional purposes, unless otherwise agreed in writing.
By commissioning Resonance Records to produce musical works, the Client warrants that they hold all necessary rights and permissions to use any copyrighted material incorporated within the project. The Client agrees to indemnify Resonance Records against any claims arising from copyright infringement.
6. Liability
Resonance Records will not be liable for any loss or damage to the Client's equipment or recordings, unless caused by gross negligence on the part of Resonance Records. The Client is responsible for backing up their recordings and data. Resonance Records will not be liable for any consequential loss or damage arising from the use of our services.
7. Confidentiality
Resonance Records will treat all Client information and recordings as confidential. We will not disclose any information to third parties without the Client's consent, unless required by law. Clients are also expected to maintain confidentiality regarding studio rates and pricing structures.
All employees and contractors of Resonance Records are bound by strict confidentiality agreements. We understand the sensitive nature of creative projects and are committed to maintaining the privacy and integrity of our clients' work.
8. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the State of Tennessee, USA. Any disputes arising under or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Nashville, Tennessee.
9. Amendments
Resonance Records reserves the right to amend these terms and conditions at any time. Any changes will be posted on our website and will become effective immediately. It is the Client’s responsibility to review these terms and conditions periodically for changes.
10. Termination
Resonance Records reserves the right to terminate this agreement if the Client breaches any of these terms and conditions. Upon termination, the Client will forfeit any deposits paid and will be liable for any outstanding payments. The Client may terminate this agreement by providing written notice to Resonance Records. However, any deposits paid will be non-refundable.
11. Force Majeure
Resonance Records shall not be liable for any failure or delay in performance of its obligations under this agreement due to any cause beyond its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
